This Agreement, made this day of purchase (the "Effective Date"), is entered into by and between the party selling a product or service (the "Seller") and the party purchasing the product or service (the "User").
The purpose of this Agreement is to establish the User's unalienable rights to any purchased product or service, thereby superseding any and all other licensing agreements, terms of service, or EULAs that may contradict its terms. This Agreement is intended to protect the fundamental principle of ownership for the User.
Upon the Seller's transfer of a product or service to the User (the "Transaction"), the Seller automatically and irrevocably agrees to the following:
The User is hereby granted a perpetual, worldwide, and royalty-free license to the purchased product or service. The User has every right to use, copy, distribute, modify, or sell copies of the same product or service the User has purchased, regardless of any conflicting or contradictory license agreement, EULA, or terms of service that may also apply to the product or service.
The Seller explicitly acknowledges and agrees that the terms of this Agreement take precedence and priority over any and all other licenses, agreements, or terms (including but not limited to any End User License Agreements or Terms of Service) related to the purchased product or service.
The Seller is prohibited from imposing any license or contractual terms on the User that would restrict the rights granted in Section 2.0. Any such terms shall be considered null and void under this Agreement.
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
By accepting payment from the User, the Seller agrees to all terms within this Agreement.
By making a purchase from the Seller, the User agrees to all terms within this Agreement.
